I heard that 321 was going to shut down for good.If this is true how can you get your copy activated on another system.I have one system with hard drive problems.So I want to put it on my other system.Anyone have any ideas or know what to do?

To use the "activate from another computer" you have to use a clean install of the software. Since you have HD problems your solution is easy :) ... Do a clean install of your O/S.
